Investment Description
The VAWS Property consists of the facilities housing the Kernersville Health Care Center, an approximately 353,238 rentable square foot community-based outpatient clinic located at 1695 Kernersville Medical Parkway, Kernersville, North Carolina, and the land on which it is situated. A description of the VAWS Property is set forth below under “THE PROPERTIES” section of this Memorandum. The USCIS Property consists of the land and improvements comprising the U.S. Citizens and Immigration Services (“USCIS”) build-to-suit headquarters containing
574,767 rentable square feet and associated parking and infrastructure located at 5900 Capital Gateway Drive, Camp Springs, Maryland. A description of the USCIS Property is set forth below under “THE PROPERTIES” section of this Memorandum.

The principal objectives of the Master Trust are to (1) preserve the Investors’ capital investment, (2) make regular monthly distributions to the Beneficial Owners (as defined herein) out of net cash flow distributed to the Master Trust, as shown on in the Master Trust Pro-forma attached hereto as Exhibit C, and (3) complete sales of the Properties prior to the maturity date of the Loans to maximize the Investors’ return of capital.
